Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the SynapAds marketing automation platform available at synapads.com (the “Service”), operated by SynapAds (“SynapAds,” “we,” or “us”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

SynapAds is an AI-driven marketing platform built for small and medium-sized businesses. It lets you connect your Facebook and Google Ads accounts, generate ad copy and creative with AI, publish posts and run paid campaigns, and review performance from a single dashboard. The Service is currently in early access. Features, limits, and pricing may change as the Service evolves; material changes will be announced in-app and by email before they take effect.

2. Eligibility and Account

• You must be at least 18 years old and able to enter a binding contract under the laws of your country.
• You must provide accurate information when registering and keep it current.
• You are responsible for all activity under your account. Keep your sign-in credentials confidential. Notify us immediately of any unauthorized access.
• You may use the Service only to manage businesses that you own or for which you have explicit authorization from the owner.

3. Acceptable Use

You agree NOT to use the Service to:

• Violate the policies of any connected platform — Meta's Advertising Policies, Google's Personalized Advertising Policies, or any platform's community standards.
• Promote illegal products or services, deceive consumers, infringe third-party intellectual property, or distribute malware.
• Attempt to reverse engineer the AI models, scrape large portions of the Service, or interfere with its infrastructure.
• Use the Service to send spam or unsolicited messages outside of paid advertising channels.
• Resell the Service or expose its API to your own customers without a written agreement with us.

Violations may result in immediate suspension or termination. We reserve the right to refuse service for any campaign, creative, or target audience that we believe poses a risk to user safety, our relationship with connected platforms, or our reputation.

4. Connected Platforms

The Service relies on Meta and Google ads APIs to function. By connecting your Facebook or Google account, you authorize SynapAds to read and write data on your behalf within the scopes you grant. You remain responsible for:

• Maintaining your accounts with those platforms in good standing, including paying ad spend directly to the platform.
• Reviewing the campaigns, creatives, budgets, and targeting that SynapAds creates on your behalf before they go live. The Service offers configurable approval gates (HITL mode) that pause for your review at key steps. If you operate the Service in autonomous mode, you accept that AI-generated decisions may fire without your prior review subject to the limits you set.
• Compliance with the platforms' advertising policies for every campaign run through your account. Policy rejections, account suspensions, and disabled ad accounts caused by your campaigns are your responsibility.

5. AI-Generated Content

• Ownership.All ad copy, captions, images, and campaign assets generated through the Service for your business belong to you, subject to applicable platform terms (e.g., Meta's and Google's rights to publish the content on their platforms).
• Accuracy. AI output is created from your business profile and prompts. We make reasonable efforts to filter hallucinated or low-quality output, but you are responsible for reviewing every piece of content before publication and for the accuracy of factual claims it contains.
• Brand voice learning. Your approve/reject feedback and edits are used to tune future generations for your business only. You can disable this learning in your business profile at any time.
• Third-party rights. Do not include personal data of others, copyrighted material you do not have rights to, or trademarks of competitors in your briefs without authorization.

6. Pricing and Billing

The Service is currently in early access and offered free of charge to onboarded users. We will introduce paid plans before launch; we will give existing users at least 30 days' notice and the ability to cancel before any charges apply. Ad spend on Meta and Google is billed directly by those platforms — SynapAds does not process ad spend.

7. Intellectual Property

• Your content. You retain all rights to the content you upload, the briefs you submit, and the AI output generated for your business.
• Our platform. SynapAds, including the software, user interface, branding, prompts, workflow templates, and documentation, is owned by SynapAds and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
• Feedback. If you send us suggestions for improvements, we may use them without obligation to you.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT AI OUTPUT WILL MEET YOUR REQUIREMENTS, OR THAT YOUR CAMPAIGNS WILL ACHIEVE ANY PARTICULAR BUSINESS RESULT. TO THE MAXIMUM EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-generated content can contain inaccuracies. Always review before publishing.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNAPADS AND ITS PERSONNEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST REVENUE, LOST PROFITS, AD SPEND WASTED ON UNDERPERFORMING CAMPAIGNS, LOSS OF GOODWILL, OR ACCOUNT SUSPENSIONS BY CONNECTED PLATFORMS — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE FEES YOU PAID US DURING THAT PERIOD, OR THB 5,000 IF YOU HAVE PAID NO FEES.

10. Indemnification

You agree to indemnify and hold SynapAds harmless from any claim, loss, or expense arising out of: (a) content you upload or briefs you submit, (b) campaigns run through your connected platform accounts, (c) your violation of these Terms, or (d) your violation of applicable law or third-party rights.

11. Termination

You may stop using the Service and delete your account at any time through the settings page. We may suspend or terminate your access for material breach of these Terms, abuse, or risk to connected platforms — with notice where practical. Upon termination, your right to use the Service ends. Provisions that by their nature survive termination — including IP, disclaimers, liability limits, and governing law — will survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the Kingdom of Thailand, without regard to conflict-of-laws principles. Any dispute that the parties cannot resolve informally will be brought in the courts of Bangkok, Thailand. Nothing in this section limits your right to pursue remedies available in your country of residence if those rights cannot be waived by contract.

13. Changes to These Terms

We may update these Terms as the Service evolves. The “Last updated” date at the top reflects the latest revision. Material changes will be announced in-app and by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
